Overview

The Terms of Service (hereinafter referred to as “Terms”) include the terms, principles, requirements and guidelines for the use of services at XINTEL CORPORATION LIMITED (hereinafter referred to as “Company”) to manage the use of services by customers for the Company’s services and products.

These terms are created to ensure the rights and obligations between the Company and customers. The Company reserves the right to amend the Terms of Service & Products at any time and at any time, automatically effective for all customers when approved by the Company and announced at https://educhain.tech/terms-of-service in the spirit of compliance with the law, balancing the interests between the Company and customers.

By using the Company's services & products, the customer agrees to be bound by these Terms.

1. Acceptance of Terms

When accessing or using any services provided by the Company, including but not limited to applications, websites and platforms DApp, you are deemed to have read, understood and agreed to be bound by all of the terms of use below. In any case, if you do not agree with any of the terms, you must immediately stop accessing and using the Company's services.

2. Terms of Use

• Age and legal capacity: Users must be 18 years of age or older and have full civil capacity under current law to enter into and carry out transactions. The Company has the right to refuse to provide services or terminate accounts in cases of violation of these conditions.
  
• Register an account and connect an e-wallet: Depending on the requirements of each service, users may be required to register an account or connect an e-wallet to use. Users are responsible for keeping their login information and e-wallet secure and are fully responsible for all activities arising from their account/wallet.
  
• Information provided: Users commit to providing complete, accurate and honest information as required by the Company; and must not impersonate, forge or use third party information in any form. The Company has the right to suspend or terminate the service immediately if any violation is detected.

3. Account & Security

• Users are absolutely responsible for keeping their account information, password, authentication code, seed phrase or any other security information related to accessing and using the Company's services confidential.
  
• Any actions, transactions, or activities arising through the connected account or e-wallet are deemed to be performed by the user himself, and the user shall bear all legal responsibility and related financial obligations.
  
• The Company shall not be liable for any damages, losses or disputes arising from:

• User discloses, loses, or fails to secure login information/seed phrase.
• An account or e-wallet is hacked or taken over by a third party.
• The User allows, whether intentionally or unintentionally, any other party to use his/her account/e-wallet.
  

• In case of detecting unauthorized access, the user is responsible for notifying the Company immediately. However, the Company does not guarantee and is not obliged to restore or compensate for any damage incurred before the time the Company receives the notice.
  

4. Services Provided

• The Company provides a platform that integrates a variety of features, including but not limited to:
  

• Educational social network: allows users to connect, share content, experiences and interact with the community.
  
• Entertainment services: includes utilities such as Short Video, Livestream, Voting and other forms of online entertainment.
  
• Blockchain Services: includes renting mining nodes, participating in the system and receiving rewards according to the operating mechanism announced by the Company at each time.
  
• Affiliate System: allows users to refer others to join the platform to receive incentives or commissions according to current policies.
  

• The company has the sole discretion to decide whether to add, modify, upgrade, suspend or terminate any service/feature on the platform, without prior notice to users.
• The company only acts as a platform and tool provider for users to use; no representation, warranty or liability for any profits, income or results that the user expects from participating in the services (including but not limited to renting a mining node or participating in the affiliate system).
• The Company shall not be liable for any loss, damage or claim arising from: (i) system interruptions, routine maintenance or technical errors; (ii) acts of third parties; (iii) force majeure events.
• Use of the above services may be accompanied by separate terms, policies or regulations (e.g. affiliate participation conditions, reward distribution policies, community rules...). Users are responsible for reading, understanding and complying with such regulations before use.
• Renting a mining node and using technology products provided by the Company is not a financial investment. This is a service provided by the project to support mining and create added value from the ecosystem. This value will be freely priced and traded by the user community; the Company does not commit, guarantee or take responsibility for any profit, income or commercial value arising from transactions between users.
• The platform commits to ensuring that the mining node operation service operates stably according to the initially announced technical specifications, throughout the warranty period or until the initial committed value is reached (whichever comes first).

5. Regulations on Service Use

Users are responsible for complying with applicable laws, these Terms of Use and all relevant Company policies during the use of the service.

Users are prohibited/not allowed to use the purchased service for any purpose, in any form that violates Vietnamese law, international law governing the service or international conventions to which Vietnam is a member, including but not limited to the following acts:

5.1     Store, link, transmit or otherwise transfer data:

Illegal and prohibited by the State: Advertising, propagating, buying and selling prohibited goods and services; disseminating prohibited press, literary, artistic and publication works;

Opposing the Socialist Republic of Vietnam; harming national security and social order and safety; undermining national unity; propagating war and terrorism; causing hatred and conflicts between nations, ethnicities and religions;

Propaganda, incitement of violence, obscenity, depravity, crime, social evils, superstition, destruction of national traditions and customs;

Providing information that distorts, slanders, or insults the reputation of an organization or the honor and dignity of an individual;

Disclosing state secrets, military secrets, security, economic secrets, foreign affairs secrets and other secrets prescribed by law in any form prohibited by Vietnamese law.

5.2     You illegally interfere with, damage, disrupt or distribute malicious code, viruses, trojans or any form of attack that affects the security, integrity and operation of the Company's platform.

5.3     Engage in any form of fraud, including but not limited to the use of bots, automated software, emulators or other tricks to exploit rewards, promotions or the system.

5.4     Engage in conduct that interferes with, disrupts or otherwise interferes with the Service or any other person's use of the Service, servers or networks connected to the Service; or disobeys any requirements, procedures, policies or regulations of networks connected to the Service.

5.6     Impersonate the Company, a Company employee or any other organization/individual with the intent to defraud, profit or cause confusion.

5.7     Violate the spam policies under Decree 91/2020/ND-CP on anti-spam messages, spam emails, spam calls or legal documents that have legal value at the time of sending spam.

5.8     Use the Service to or may cause harm to minors in any way.

5.9     Violate the current regulations of the Ministry of Science and Technology as well as current regulations of Vietnamese law on illegal acts on the internet, other than the cases mentioned in this clause.

The Company reserves the right, without prior notice, to:

• Temporarily block, limit or terminate the account of the violating user.
• Revocation of rewards, benefits or rights obtained from the violation.
• Transfer information and evidence to competent authorities if necessary.

6. Rewards & Transactions

• The distribution of rewards (including but not limited to nodes, bonus points, commissions or other forms of incentives) is done entirely based on internal policies, procedures and calculations of the Company system at each time. The User agrees and accepts this distribution result as final, binding and non-appealable.
  
• Customers should consider their own needs and objectives when purchasing products/services. The Company does not guarantee, warrant or promise any future profits or growth in value; all fluctuations are entirely dependent on market demand and fluctuations.
  
• The acquisition of mining points (EDC Point) is carried out by Xintel Corporation Limited in Hong Kong (“the Acquirer”). For this purpose, the Company will share necessary data (including full name, registered email, and relevant transaction history) with the Acquirer in accordance with the law. Any official notice of the acquisition will be sent to all email addresses registered by users with the system. Users are responsible for regularly checking their email and updating their contact information to ensure timely receipt of information. The Company and the Acquirer commit not to use users' personal data for any purpose other than the stated scope, and strictly comply with regulations on security and protection of personal data, including regulations on cross-border data transfer.
  
• The Company is responsible for converting the reward points that users mine on the platform into vouchers with usage value according to current policies. Users will be specifically notified of the voucher type, redemption value, as well as the conditions and methods of use before the redemption is made.
  
• The company has full rights to adjust, change, suspend or terminate reward distribution mechanism and related policies without prior notice.
  
• Responsible User self-monitoring, assessing and managing risk related to the fluctuation of node value, point or any digital asset in the Company's ecosystem. The Company is not responsible for any loss, damage, or loss arising from market fluctuations or user trading decisions.

7. Limitation of Liability

• Company in all cases not responsible for any loss, damage, expense, cost or claim arising from:

• Technical problems, system errors, routine maintenance, network connection interruptions, or cyber attacks/denial of service attacks/unauthorized intrusions.
• Third party conduct beyond the Company's reasonable control.
• A decision, action or transaction made by the user himself.
  

• Company not liable for any consequences arising from the user's violation of the laws in the country or region of residence, including but not limited to regulations relating to cryptocurrency, multi-level marketing (MLM), crowdfunding, finance, securities, investment or e-commerce. Users must verify their own legality before participating and are fully responsible for using the service.
  
• The company only acts as an intermediate technical platform providing tools and infrastructure to users. The company does not operate and is not considered a bank, credit institution, investment fund, securities company, financial exchange or any financial services business organization..
  
• In any event, the total liability of the Company (if any) to the user, whether arising from contract, tort or any other legal basis, will not exceed the value of the service that the user has paid directly to the Company within the last 03 (three) months before the event occurred..

• Any organization or individual participating in consulting activities for the Company's products/services must take full responsibility if they make comments, introduce or present these products/services as an investment with profit, a periodic savings deposit or a form of financial capital mobilization.
• The Company's products/services are built on the Blockchain/Crypto platform, with characteristics similar to BTC/ETH/TRON mining activities - that is, the process of mining digital assets with future expectations, the value of which depends on the community and the development of the ecosystem. The Company does not make any financial commitments, fixed profits or venture investment commitments to participants.

8. Account Suspension & Lock

Company reserves the right, at its sole discretion and without prior notice, to suspend or temporarily/permanently disable a user's account in the following cases:

• Violation of Terms: When discovering or having reasonable grounds to believe that the user has violated any terms, conditions, policies or guidelines issued by the Company.
  
• Fraudulent or abusive behavior: When detecting fraudulent behavior, falsifying information, taking advantage of system errors, illegally exploiting or abusing reward/promotion policies, affecting the fairness, safety or reputation of the platform.
  
• Legal requirements: When there is an official request from a competent state management agency, court or legal authority according to current law.
  

Community Principles

The community participating in the technology services/products provided by the Company is formed in the spirit of sharing the common goal of building and developing the ecosystem. All members are responsible for participating, using and actively contributing to the common development.

The Board of Directors has the right to suspend or block the account of any member whose behavior goes against this goal.

Prohibited behaviors include but are not limited to:

• Hacking, illegally accessing the system.
  
• Causing economic or political damage in the locality.
  
• Negatively affecting the common goals and interests of the community.

All violations will be handled according to current laws and internal policies that members have agreed to before participating.

In the event of an account suspension or lockout, the user may lose access to all or part of the Services, including but not limited to access to the Wallet, Digital Assets and related features.The Company shall not be liable in any way for any loss, damage or expense arising from suspension or blocking of the account as provided in this clause.

Users can contact the Company's support department to review, resolve complaints or request account recovery (if there is a reasonable basis and in accordance with legal regulations). However, the company reserves the right of final decision regarding whether to accept the account restoration or continue to disable it.

Reserve the right to process

• The Company has the right to collect, store and provide evidence related to violations to competent state agencies or relevant third parties.
  
• The Company reserves the right to refuse to restore or permanently terminate an account in the event of serious violations, fraud, money laundering, terrorist financing or any other prohibited acts under applicable law.
  
• Any decision by the Company regarding suspension, blocking or termination of an account is final and binding for users.

9. Terms Update

The Company reserves the right, at its sole discretion and at any time, to modify, supplement or replace all or any part of the contents of these Terms of Use that No need to get prior approval from the user.

Any changes will be notified by the Company publicly announced on an official platform or system and effective immediately upon publication (unless the Company specifies a different effective date).

It is the user's responsibility to regularly check for updates. It is the user's responsibility to continue to access or use the Service after the Terms are updated and will be deemed to have read, understood and agreed to be bound by such changes.

In case the user disagrees with modified content, the user must stop using the service immediately. The Company is not responsible for any loss or damage arising from the user's continued use without agreeing to the new terms.
